By purchasing, accessing, or using the courses, webinars, or content provided by Capstone Certified HR Advisors, LLC (the "Company") through its Thinkific platform (the "Site"), you (the "User" or "Customer") agree to be bound by these Terms and Conditions.
1. Acceptance of Terms
These Terms and Conditions constitute a legally binding agreement between you and the Company. If you do not agree to these terms, you must not access or use the Site or any purchased content.
2. Course License and Single-Use Restriction
2.1 Grant of License
Upon successful payment for a course or on-demand webinar, the Company grants the User a limited, non-exclusive, non-transferable, non-sublicensable license to access and view the purchased training content (the "Content") for the User's individual, personal, and non-commercial use only.
2.2 Strict Single-User and Group Use Prohibition
The purchase price is for a single-user license to the Content. The User's access credentials (username and password) may not be shared with any other individual. The Content, including any on-demand webinar, video, or accompanying materials, may not be used, viewed, or displayed in a group setting, classroom, training session, or organizational viewing event.
2.3 Financial Penalty for Violation (Group Use)
The User acknowledges and agrees that the unauthorized use or viewing of the Content in a group setting constitutes a material breach of this Agreement. If the Company determines or reasonably suspects that the Content has been used or viewed by a group (defined as two or more individuals viewing the Content simultaneously or sequentially using a single User's license), the User will be invoiced for the full single-user price of the Content for every individual who attended or viewed the Content in the unauthorized group setting. The User agrees to pay this full invoiced amount within thirty (30) days of receiving the invoice. Failure to pay will be considered a debt due and may result in legal action and immediate, permanent termination of all course access without refund.
3. Intellectual Property Rights
3.1 Ownership
All Content, including but not limited to, videos, webinar recordings, course materials, handouts, text, graphics, logos, images, software, and the underlying concepts, methods, and methodologies, are the exclusive property of Capstone Certified HR Advisors, LLC and are protected by copyright, trademark, and other intellectual property laws.
3.2 Prohibited Actions
The User is strictly prohibited from:
- Recording, downloading, copying, duplicating, screen-capping, or reproducing the Content in any format.
- Modifying, translating, adapting, or creating derivative works of the Content.
- Sharing, distributing, selling, lending, or otherwise transferring the Content or access to the Content (including login details) to any third party.
- Using the Content to train others, or for any commercial purpose, including creating a competing course or service.
- Deleting or altering any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.
4. Account Security and Termination
4.1 Account Responsibility
The User is responsible for maintaining the confidentiality of their account login information and is fully responsible for all activities that occur under their account.
4.2 Termination
The Company reserves the right to immediately terminate the User's access to the Site and the Content, without refund, if the User breaches any term of this Agreement, particularly the clauses related to the single-user license and intellectual property protection.
5. Limitation of Liability and Disclaimer
5.1 No Professional Advice
The Content is for educational and informational purposes only. The Company is not providing legal, financial, or specific professional HR advice. The User is responsible for implementing the information and should seek professional counsel for specific situations.
5.2 Limitation of Liability
The Company and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising out of the use or inability to use the Content. The Company’s liability to the User for any and all claims shall not exceed the total amount paid by the User for the specific Content at issue.
